5. Client Deliverables

Work product created under a service agreement between V Consulting Services and a client is governed exclusively by the terms of that agreement.

Our standard practice is that clients own all deliverables upon completion of the engagement and receipt of full payment. However, specific ownership, licensing, and usage rights are defined in each individual service agreement and may vary based on the nature of the engagement.

6. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

In no event shall the total liability of V Consulting Services, LLC exceed the amount you have paid to V Consulting Services for services in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Government Contracts

Services provided by V Consulting Services under government contracts are subject to all applicable federal, state, and local laws, regulations, and procurement requirements.

In the event of any conflict between these Terms and the terms of a government contract or applicable regulation, the government contract terms and applicable regulations shall prevail.

V Consulting Services maintains compliance with the Federal Acquisition Regulation (FAR), the Defense Federal Acquisition Regulation Supplement (DFARS), and all other applicable acquisition regulations governing our government engagements.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Fulton County, Georgia. You hereby consent to the personal jurisdiction and venue of such courts.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision.
